These terms govern your use of https://bluelionsw.comand the services offered by Bluelion Software (“Bluelion,” “we,” “us”). By using this site or engaging our services, you agree to these terms.

1. Services

Bluelion designs and delivers websites, AI chat agents, AI voice agents, SEO campaigns, review generation, and related marketing services to Southern California small businesses. The specific scope, deliverables, timeline, and price for any engagement will be described in a written proposal or statement of work (“SOW”) signed by both parties. In the event of a conflict between these terms and a signed SOW, the SOW governs.

2. Website use

You agree to use this website lawfully. You will not:

• Attempt to interfere with, disrupt, or reverse-engineer the site or its AI agents.
• Use automated tools to scrape, harvest, or overload the site.
• Use the site to transmit any content that is unlawful, harassing, defamatory, or infringing.

3. AI agents

When you interact with our AI voice or chat agents, you understand:

• The agent is an AI, not a human, and may make mistakes.
• Voice conversations are transcribed and may be reviewed to improve responses and follow up.
• Any pricing, scheduling, or commitments an agent gives are preliminary and require confirmation by a human at Bluelion.

4. Payment

Payment terms — including deposits, milestones, and net terms — are defined in each SOW. Overdue invoices may pause work and accrue reasonable late fees. All fees are in US dollars and exclude applicable taxes.

5. Intellectual property

You retain ownership of any content, trademarks, and data you provide to us. Upon full payment, you own the final deliverables specific to your project (custom site code, brand assets, agent configuration, copy, etc.), subject to the terms of the SOW.

Bluelion retains ownership of its pre-existing tools, templates, frameworks, know-how, and generic components, and may reuse these in other engagements. Bluelion also retains the right to display finished work in its portfolio and case studies unless the SOW says otherwise.

6. Third-party services

Our deliverables often incorporate third-party services (hosting, domain registration, LLM providers, voice infrastructure, analytics, CMS, etc.). Fees paid to those providers are your responsibility unless specifically included in the SOW. Bluelion is not liable for issues caused by third-party outages, policy changes, or price increases.

7. Warranties and disclaimers

Bluelion warrants that services will be performed with reasonable professional skill and care. Except for that warranty, the website and services are provided “as is” without warranties of any kind, express or implied. We do not guarantee specific outcomes such as search rankings, traffic levels, conversion rates, or lead volume — those depend on many factors outside our control.

8. Limitation of liability

To the maximum extent permitted by law, Bluelion's aggregate liability arising out of or related to these terms or the services will not exceed the fees you paid Bluelion in the twelve months prior to the event giving rise to the claim. Bluelion will not be liable for any indirect, incidental, consequential, special, or punitive damages, including lost profits or lost data.

9. Termination

Either party may terminate an engagement for material breach if the other party fails to cure the breach within fifteen days of written notice. Upon termination, you will pay for work performed through the termination date.

10. Governing law

These terms are governed by the laws of the State of California, without regard to conflict-of-laws rules. Exclusive jurisdiction for any dispute lies in the state or federal courts located in Los Angeles County, California.

11. Changes to these terms

We may update these terms from time to time. Material changes will be reflected here with a revised “Last updated” date. Continued use of the site after changes take effect constitutes acceptance.
